These Terms & Conditions ("Terms") govern your use of Stackalot (the "Service"), provided by CRC (Pty) Ltd, a company registered in South Africa ("CRC", "we", "us", "our"). By creating an account or otherwise using the Service, you agree to these Terms.
1. The Service
Stackalot is a software-as-a-service tool that helps sellers on the Takealot marketplace optimise their listings, advertising and product imagery using artificial intelligence and live marketplace data.
2. Eligibility & accounts
You must be at least 18 years old (or the age of majority in your country) and have authority to bind your organisation (if you are signing up on behalf of one). You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate information and to keep it updated.
3. AI outputs — accuracy & human review (important)
Stackalot uses large language models and generative AI. AI can be wrong, out of date, or "hallucinate" — meaning it may produce confident-sounding output that is inaccurate, incomplete, or fabricated. Every output produced by Stackalot — including listings, titles, bullet points, descriptions, keywords, PPC recommendations, market scores, competitor analyses, generated images and AI insights — is a suggestion only.
- You are solely responsible for reviewing, verifying and editing every output before publishing it to Takealot, sending it to customers, or relying on it for any business decision.
- You are solely responsible for ensuring the output complies with Takealot's seller policies, applicable consumer protection law, and any intellectual property rights of third parties.
- Generated images must be checked for accuracy (specs, colours, materials, in-the-box contents) before use. Stackalot does not guarantee that any generated image is true to the physical product.
- We do not guarantee any specific commercial result, ranking position, sales uplift, or ad ROI.
4. Acceptable use
You must not, and must not allow others to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose.
- Infringe the intellectual property or privacy rights of any third party (including by uploading images, brand assets or copy you do not have rights to).
- Use the Service to generate false reviews, misleading product claims, hateful or illegal content, malware, spam, or content that violates Takealot's policies.
- Attempt to jailbreak, prompt-inject, reverse-engineer, scrape, probe, or otherwise interfere with the security or integrity of the Service.
- Resell, sublicense, or redistribute the Service or its output as a competing product.
5. Intellectual property
We retain all right, title, and interest in the Service, including software, models, brand and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your subscription plan.
You retain ownership of content you upload (e.g. product photos, notes). You grant us a limited licence to host and process that content solely to provide the Service to you.
As between you and us, you own the AI-generated output you keep and publish, subject to the rights of third parties and the limitations described in Section 3.
6. Takedown of infringing content
If you believe content generated or hosted via Stackalot infringes your rights, email support@stackalot.co.za with details of the work and the allegedly infringing material. We will review and act in good faith, and we may suspend or terminate the accounts of repeat infringers.
7. Payment, billing & subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, renewal, cancellation and refund mechanics are governed by the Paddle Buyer Terms.
8. Suspension & termination
We may suspend or terminate your access to the Service for: material breach of these Terms, non-payment, security or fraud risk, abuse of the AI features, or repeated or serious violations of acceptable use. On termination, your right to use the Service ends; we may delete account data after a reasonable retention period unless we are legally required to keep it.
9. No warranty
To the fullest extent permitted by law, the Service and all AI outputs are provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity. Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. fraud, gross negligence, death or personal injury caused by negligence).
11. Your indemnity
You will indemnify us against claims, losses, and costs arising from: (a) content you upload or publish using the Service; (b) your use of AI outputs without adequate human review; (c) your breach of these Terms; or (d) your violation of third-party rights or applicable law (including Takealot's seller policies).
12. Governing law
These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction over any dispute, subject to any non-waivable consumer rights you have under local law.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
